Software License Agreement

1. License Grant

NetGuard grants you a non-exclusive, non-transferable, revocable license to use this software in accordance with the terms of this agreement. The software is licensed, not sold. Your license is limited to internal use by your organization.

2. Permitted Uses

You may:

  • Use the software for network security monitoring and threat detection
  • Install the software on systems within your organization
  • Make backup copies for archival purposes
  • Access updates and security patches provided by NetGuard

3. Restrictions

You may not:

  • Sublicense, sell, rent, lease, transfer, or distribute the software
  • Reverse engineer, decompile, or attempt to discover the source code
  • Modify, adapt, or create derivative works of the software
  • Remove or alter any proprietary notices or labels
  • Use the software for commercial service bureau or time-sharing purposes
  • Use the software for unlawful purposes or in violation of applicable laws

4. Intellectual Property Rights

NetGuard retains all intellectual property rights in the software, including but not limited to copyrights, patents, trademarks, and trade secrets. All updates and enhancements to the software remain the exclusive property of NetGuard.

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. NETGUARD DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

6. Limitation of Liability

IN NO EVENT SHALL NETGUARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS LICENSE OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Term and Termination

This license is effective until terminated. Your rights terminate automatically without notice if you breach any term of this agreement. Upon termination, you must destroy all copies of the software and cease all use immediately.

8. Open Source Components

NetGuard contains components licensed under open source licenses. These components are governed by their respective licenses, which can be found in the LICENSES file included with the software. In the event of a conflict, the open source license terms shall apply to those specific components.

9. Support and Updates

NetGuard may provide updates and bug fixes at its discretion. You are not entitled to support or updates unless you have a separate support agreement with NetGuard. Updates may be subject to additional terms.

10. Governing Law

This license agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which NetGuard is incorporated, without regard to its conflicts of law principles.
